Terms of Service

Acceptance of Terms

By accessing or using the IntujiOS platform, applications, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you, or the entity you represent ("you", "User", or "Customer"), and Intuji Pty Ltd ("Intuji", "we", "us", or "our"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree with these Terms, you must not accept them and may not use the Service.

Description of Service

IntujiOS is a comprehensive business operating system designed for enterprise management, including but not limited to modules for Customer Relationship Management (CRM), Project Management, Human Resources, Time Tracking, Financial Operations, and Analytics. We reserve the right to modify, update, or discontinue any feature, functionality, or component of the Service at any time with or without notice. While we strive to ensure maximum uptime, we do not warrant that the Service will be uninterrupted, error-free, or entirely secure.

Account Registration and Security

To use the Service, you must register for an account providing accurate, complete, and current information. You are strictly responsible for maintaining the confidentiality of your account credentials, including your password and multi-factor authentication methods. You are entirely responsible for any and all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. Intuji cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.

User Conduct and Acceptable Use

You agree not to engage in any of the following prohibited activities: (a) copying, distributing, or disclosing any part of the Service in any medium, including by automated or non-automated "scraping"; (b) imposing an unreasonable or disproportionately large load on our infrastructure; (c) attempting to interfere with, compromise the system integrity or security of, or decipher any transmissions to or from the servers running the Service; (d) uploading invalid data, viruses, worms, or other software agents through the Service; (e) collecting or harvesting any personally identifiable information from the Service; or (f) bypassing the measures we may use to prevent or restrict access to the Service.

Intellectual Property Rights

The Service and its original content (excluding User Data), features, functionality, software, design, and branding are and will remain the exclusive property of Intuji Pty Ltd and its licensors. The Service is protected by copyright, trademark, and other laws of both local and foreign jurisdictions. Our trademarks and trade dress, including the "IntujiOS" operating system name, may not be used in connection with any product or service without the prior written consent of Intuji Pty Ltd.

Data Ownership and Privacy

As between you and Intuji, you retain all right, title, and interest in and to your data, content, and information submitted to the Service ("User Data"). By submitting User Data, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, electronically distribute, transmit, have transmitted, perform, display, store, and archive the User Data solely for the purpose of providing the Service to you. Our collection and use of personal data in connection with your access to and use of the Service is described in our Privacy Policy.

Payment and Subscription Terms

The Service is provided on a subscription basis. By selecting a subscription plan, you agree to pay Intuji the periodic subscription fees indicated for that service. Subscription fees are billed in advance on a monthly or annual basis and are non-refundable. There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account. We reserve the right to change payment terms and fees upon thirty (30) days prior written notice.

Limitation of Liability

In no event shall Intuji Pty Ltd, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory.

Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. If you wish to terminate your account, you may simply discontinue using the Service or cancel your subscription through the platform settings. Upon termination, your right to use the Service will immediately cease, and your User Data may be permanently deleted in accordance with our data retention policies.

Governing Law

These Terms shall be governed and construed in accordance with the laws of Western Australia, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
